Officers of the

Native American Warrior Society of Texas,

a Texas Non-Profit Corporation

 


Section 1. General Provisions Applicable to ALL officers:

The day-to-day management of the Society shall be the responsibility of the officers of the Society.

No person shall hold more than one elected position at a time.


Section 2. The Executive Officers of the Society shall consist of the Elder, Operations Officer, Administrative Officer, Logistics Officer, and the Inspector General.

The Elder shall serve as the Corporate President and Chief Executive Officer of the Society and as such, shall also serve as Chair of the Headsmen Council. The Elder, or in his/her absence the next highest officer present, shall preside at all regular or special meetings of the members.

The Elder shall be elected annually and shall serve for one year or until their successor is elected and sworn into office.

The Inspector General shall serve as the Corporate Auditor and Chief Accountability and Compliance Officer of the Society and, as such, shall serve as the Chair of the Audit Committee.

The Inspector General shall generally be responsible for investigating allegations against any officer or other person in a position of trust within the Society, ensuring that all legal requirements are followed in the conduct of any and all activities of the Society, ensuring all legal reports and forms are completed and submitted as required, ensuring that periodic internal audits are completed, performing after-event reviews, etc.

The Inspector General shall be elected in odd years and shall serve for two years or until their successor is elected and sworn into office.

The Inspector General shall coordinate with the Elder; however, as the independent auditor and inspector of the Society, they shall possess a unique position within the Society in that they shall be accountable directly to the Members and shall not report to any other officer of the Society.

The Operations Officer shall serve as the Chief Operating Officer of the Society and, as such, shall also serve as the Vice-Chair of the Headsmen Council and Chair of the Executive Committee.

The Operations Officer shall be responsible for scheduling, manning, and conducting the routine, day-to-day activities of the society.

The Operations Officer shall be elected in even years and shall serve for two years or until their successor is elected and sworn into office.

The Operations Officer shall coordinate with all other elected and appointed officers and report to the Headsmen Council.

The Administrative Officer shall serve as the shall serve as the Corporate Secretary-Treasurer and Chief Financial Officer of the Society and, as such, shall also serve as Chair of the Budget and Finance Committee.

As the Corporate Secretary , the Administrative Officer shall keep the minutes of the meetings of the Membership and of the Headsman Council in books provided for that purpose; see that all notices are duly given in accordance with the provisions of the Bylaws or as required by law; be custodian of the corporate records and of the seal of the Corporation. if so adopted, to affix said seal to all corporate documents, the execution of which on behalf of the Corporation under its seal is duly authorized in accordance with the provisions of these Bylaws; and in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned by the President or by the Board of Directors.

As the Corporate Treasurer and Chief Financial Officer of the Society , the Administrative Officer shall have charge and custody of and be responsible for all funds and securities of the Corporation; receive and give receipts for moneys due and payable to the Corporation, depositing said moneys in such banks, trust companies or other depositories as shall be selected; tender payment of moneys due and payable by the Corporation upon proper receipt or bill for goods, services or other debt of the Corporation, perform or cause to be performed, all accounting and bookkeeping functions necessary for the accurate maintenance of the financial records of the Corporation; render periodic financial reports and statements of the financial condition of the Corporation to the Headsmen Council; advise the Headsmen Council when income and expenditures are out of balance, complete and ensure the submission of all federal, state, and local legal and tax documents, and in general perform all the duties incident to the office of Treasurer and such other duties as from time to time may be assigned by the President or by the Board of Directors.

The Administrative Officer shall be elected in odd years and shall serve for two years or until their successor is elected and sworn into office.

The Administrative Officer shall coordinate with all other elected and appointed officers and report to the Headsmen Council.

The Logistics Officer shall serve as the Chief Personnel and Supply Officer of the Society and, as such, shall also serve as the Chair of the Logistics Committee.

As the Chief Personnel Officer, the Logistics Officer shall be responsible for recruiting and, where needed, training membership, serving as the liaison between the Society and its Auxiliary.

As the Chief Supply Officer, the Logistics Officer shall be responsible for ensuring that all equipment, supplies, and materials needed by the society is available when and where needed.

The Logistics Officer shall be elected in even years and shall serve for two years or until their successor is elected and sworn into office.

The Logistics Officer shall coordinate with all other elected and appointed officers and report to the Headsmen Council.


Section 3. The Administrative Officers of the Society shall consist of the Membership Coordinator, Public Affairs Coordinator, Sergeant-at-Arms, and Quartermaster.

Generally, all Administrative Officers shall be elected annually and shall serve for one year or until their successor is elected and sworn into office.

The Membership Coordinator shall be responsible for building and sustaining membership including coordinating the development and implementation of programs for retaining current members and for acquiring new members; processing, maintaining and updating accurate membership database and individual member records in a secure and confidential manner; collecting appropriate dues from all members, issuing receipts for payment of said dues, and transferring all monies and duplicate receipts to the Administrative Officer; and shall have such other duties and responsibilities as may be assigned by the Logistics Officer.

The Membership Coordinator shall coordinate with all other elected and appointed officers and report to the Logistics Officer.

The Public Affairs Coordinator shall be responsible for regularly furnish proper publicity materials to local newspapers, radio and television stations and other media outlets, as well as producing and distributing official publications of the Society and for developing and maintain the official website of the Society. No other member shall cause any publicity to be given to any Society activity or concerning the Society without the approval of the Headsmen Council.

The Public Affairs Coordinator shall coordinate with all other elected and appointed officers and report to the Logistics Officer.

The Sergeant-at-Arms shall serve as the Parliamentarian of the Society

The Sergeant-at-Arms shall be responsible for ensuring that meeting space is prepared for the meeting, distributing hand-outs to meeting participants, maintaining order as and when needed, and such other duties as may be needed to facilitate the success of all meetings.

The Sergeant-at-Arms shall coordinate with the chair during meetings and report to the Inspector-General.

The Quartermaster shall be responsible for acquiring, storing, and maintaining all equipment, supplies, and materials of the society that is not otherwise issued or distributed, and for issuing, distributing, and regaining physical possession of same as directed, provided that the Sergeant-at-Arms shall be the custodian of all official colors and flags of the Society.

The Quartermaster shall coordinate with all other elected and appointed officers and report to the Supply Officer.


Section 4. The Appointed Officers of the Society shall consist of the Color Guard Commander, Honor Guard Commander, and one or more Chaplains, Grants Writers, Historians, Recording Secretaries, Service Officers, and such other appointed officers as may be determined to be necessary and appropriate by the members or the Headsmen Council.

In general, all appointed officers shall be appointed by the Elder, approved by the Headsmen Council and ratified by the members and shall serve for such a term and under such conditions as may be included in the appointment resolution.

The Color Guard Commander shall be responsible for leading the Society's color guard squads.

The Color Guard Commander shall also be the flag etiquette person and should be well informed on proper flag display and procedures used in operating a meeting and in the conduct of ceremonies and pageantry -- thus, they shall serve as the training officer for the individual color guard squads, burial details, and other squads bearing colors and/or flags; and, shall be the official custodian of the colors and flags of the Society.

The Color Guard Commander shall coordinate with the Honor Guard Commander and the Quartermaster and shall report to the Operations Officer.

The Honor Guard Commander shall be responsible for leading the Society's honor guard squads.

The Honor Guard Commander shall also be the military honors person and should be well informed on proper procedures used in operating a meeting and in the conduct of ceremonies and pageantry -- thus, they shall serve as the training officer for the individual honor guard units, burial details, and other squads rendering military honors.

The Honor Guard Commander shall coordinate with the Color Guard Commander and the Quartermaster and shall report to the Operations Officer.

Chaplains shall offer invocations at all meetings, special events, and as otherwise appropriate. Chaplains, who are approved by their tribal community to do so, shall officiate at traditional Native American rites, rituals and ceremonies. Chaplains shall coordinate the volunteer endeavors of the membership to visit members who are in a hospital or who are ill or recovering at their home. Chaplains shall officiate, when requested, at funerals and be of service to the bereaved families of deceased members of the Society. Chaplains shall, in cooperation with the Historian, be responsible for identifying and recording the location of graves of Native American warriors and inspire the Society to its full duty in seeing that graves are decorated on Memorial Day.

Chaplains shall coordinate with all other elected and appointed officers and report to the Operations Officer.

Grant Writers will identify, define, and develop funding sources to support existing and planned program activities as well as coordinate the development, writing, and submission of grant proposals to third-party entities. Grant Writers shall also be responsible for collecting, analyzing, and reporting data on the performance of program activities that are funded by third-party public and private sources.

Grant Writers shall coordinate with all other elected and appointed officers as needed and shall report to the Administrative Officer.

Historians shall keep a brief history of the activities of the Society to be kept as a permanent record of the Society. The Historian shall serve at the pleasure of the Headsmen Council until their successor is appointed and sworn into office.

Historians shall coordinate with all other elected and appointed officers and report to the Administrative Officer.

Recording Secretaries shall be responsible for ensuring that the minutes of all official meetings of the council or committee to which they are assigned are recorded and for maintaining the official paperwork of their assigned committee.

Recording Secretaries shall coordinate with the Chair of the committee to which they are assigned and shall report to the Administrative Officer.

Service Officers shall be responsible for bringing the rights and benefits granted to all veterans and their dependents by law to the attention of members and for assisting members to access and utilize governmental, community and professional services.

Service Officers shall coordinate with the Membership Coordinator and shall report to the Operations Officer.


Section 5. The Ad Hoc Officers shall consist of the Special Event Coordinators and Special Project Coordinators and such other individuals appointed to coordinate such special events and/or special projects as may be determined to be necessary and appropriate by the members or the Headsmen Council.

In general, all Special Event and Special Project Coordinators shall be appointed by the Operations Officer and approved by the Headsmen Council and shall serve for such a term and under such conditions as may be included in the appointment resolution.
